These Terms & Conditions ("Terms") govern your access to and use of the Silk Lounge website, mobile experience, directory, chat tools, and related services (collectively, the "Platform"), operated by Silk Lounge ("we", "us", or "our"). By accessing the Platform, creating an account, purchasing Silk Tokens, listing as a provider, or otherwise using our services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree, you must not use the Platform. We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use after changes take effect constitutes acceptance of the revised Terms.

The Silk Lounge Directory contains adult-oriented content and services intended exclusively for persons aged 18 years or older. You represent and warrant that you are at least 18, have the legal capacity to enter into these Terms, and are accessing the Platform from a jurisdiction where such access is lawful.

Providers must additionally certify that they are 18 or older, a New Zealand citizen or permanent resident, and operating as an independent contractor. We may require identity and age verification before granting access to certain features.

Silk Lounge is an online directory and communication platform that helps adult clients discover independent providers and initiate contact through secure messaging. We are a technology intermediary — not an escort agency, booking agent, employer, or party to any arrangement made between users.

• We do not employ providers and do not direct, supervise, or control their services, schedules, pricing, or conduct.
• We do not process session fees between clients and providers and take zero commission from provider earnings.
• Any in-person meeting, service, or payment arrangement is solely between the users involved.
• We make no guarantee as to the accuracy of listings, availability, identity, or conduct of any user.

Access to certain features requires account registration and authentication, which may include passkeys (Face ID, Touch ID, or device PIN), cross-device approval flows, or other secure methods we provide. You are responsible for maintaining control of your devices and credentials and for all activity under your account.

You agree to provide accurate information, keep account details current, and notify us promptly at admin@silklounge.co.nz if you suspect unauthorised access.

During early access, verified clients may connect with providers at no charge. We may introduce Silk Tokens — digital credits used on the Platform to unlock messaging and related features — at a later date. When token purchases are available, the following applies:

Silk Tokens are not legal tender, securities, or refundable cash balances unless required by applicable law or expressly stated at purchase.

• Early-access connections remain subject to verification, intake, and safety requirements.
• Token prices will be displayed at the time of purchase and may change when introduced.
• Tokens will generally be non-transferable and tied to the purchasing account.
• Unused tokens may be forfeited upon account closure for serious policy violations.
• Billing enquiries and refund requests should be directed to billing@silklounge.co.nz.

Providers who create listings agree to additional obligations, including those accepted at registration:

• You operate strictly as an independent contractor and are solely responsible for your tax, IRD, and legal compliance.
• Listings must be truthful, current, and limited to services you are legally permitted to offer.
• You must comply with platform verification, safety, and conduct requirements at all times.
• You grant Silk Lounge a non-exclusive licence to display listing content (photos, descriptions, and metadata) for directory and promotional purposes on the Platform.
• You may remove or update your listing subject to our moderation and retention policies.

All users must conduct themselves lawfully and respectfully. By using connect, chat, or booking features, you agree to our Safety Terms, including:

• Zero tolerance for harassment, threats, coercion, stalking, discrimination, or non-consensual conduct.
• No impersonation, fraud, spam, scraping, reverse engineering, or attempts to bypass security controls.
• No posting or sharing of unlawful content, content involving minors, non-consensual imagery, or malware.
• No use of the Platform to facilitate human trafficking, exploitation, or any criminal activity.
• Immediate cooperation with safety investigations where required.

Violations may result in immediate suspension or permanent ban, token forfeiture, content removal, and referral to law enforcement where appropriate. Serious misconduct reports may be shared across the Silk Lounge network to protect other users.

Optional safety features such as Silk Shield, emergency contacts, check-in timers, and emergency alerts are provided as supplementary tools only. They do not create a duty of care, monitoring obligation, or guarantee of personal safety. You remain responsible for your own safety decisions and for contacting emergency services (111 in New Zealand) when needed.

Users are solely responsible for content they upload, publish, or transmit. We may review, restrict, or remove content that violates these Terms, applicable law, or community standards, including partner advertising placements managed by our admin team.

Copyright, trademark, and other intellectual property complaints — including DMCA-style notices — should be sent to compliance@silklounge.co.nz. Repeat infringers may have accounts terminated.

Third-party banner and card advertisements may appear in the directory. Partner ads are clearly distinguished from provider listings. Silk Lounge is not responsible for external sites, products, or services advertised by partners. Advertising enquiries: admin@silklounge.co.nz.

Our collection and use of personal information is described in our Privacy Policy, which forms part of these Terms. By using the Platform, you consent to those practices.

We may suspend or terminate access immediately for breach of these Terms, suspected fraud, legal requirement, or risk to users or the Platform. You may close your account at any time through account settings where available, or by contacting us.

Upon deletion, public listings and profile data are removed subject to a safety and dispute cooling-off period before permanent purge, as described in our Privacy Policy.

The Platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted, error-free, or secure operation.

To the maximum extent permitted by New Zealand law, Silk Lounge and its directors, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or personal injury arising from your use of the Platform or interactions with other users.

Our total aggregate liability for any claim relating to the Platform shall not exceed the greater of (a) NZD $100 or (b) the amount you paid to us in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be excluded under the Consumer Guarantees Act 1993 or other mandatory law.

You agree to indemnify and hold harmless Silk Lounge from claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your content, your interactions with other users, or your breach of these Terms or applicable law.

These Terms are governed by the laws of New Zealand. You submit to the non-exclusive jurisdiction of the New Zealand courts. Before formal proceedings, we encourage you to contact admin@silklounge.co.nz to attempt good-faith resolution.

• If any provision is unenforceable, the remainder stays in effect.
• Our failure to enforce a right is not a waiver of that right.
• You may not assign your rights under these Terms without our consent.
• These Terms, together with the Privacy Policy and any feature-specific terms you accept in-app, constitute the entire agreement between you and Silk Lounge.
